Terms of Use
Draft — pending legal review
Effective date: [DATE]
These Terms of Use govern your use of the Codeflux website. The website is operated by [LEGAL NAME] (“Codeflux”, “we”, “us”). By using the website, you agree to these terms.
1. The website is information, not an offer
Everything on this website describes our services in general terms. Nothing on it is an offer, a quote or a binding promise for a specific project.
A project starts only when both parties sign a written agreement. That agreement, and the project document attached to it, set out the scope, timeline, price, payments and ownership for that project. Where the website and a signed agreement differ, the agreement applies.
2. Defined terms
These words have exactly one meaning wherever they appear on our website:
- Business day
- Monday to Friday, US Eastern Time, excluding public holidays listed in your agreement, unless your agreement states otherwise.
- Reply
- A written response from Codeflux. A reply acknowledges and answers your message. It is not a promise to resolve an issue within that time.
- “You own it once it’s paid”
- Once a project is paid in full, you own the design and code we created for you under your agreement. Third-party items — such as fonts, stock images, plugins, and hosting and platform accounts — stay under their own licences, which are listed in your agreement.
- Timeline
- Timelines on the website are typical ranges only. Your quote states the timeline for your project. The timeline starts when we receive your content and approvals.
3. Our promises on this website
We describe only what we do and how we work. We do not promise business results — such as search rankings, calls, leads or sales — because they depend on factors outside our control, including your market, your offer and your budget.
4. Using the website
You may use the website for lawful purposes only. You agree not to:
- attempt to gain unauthorized access to the website or its systems;
- interfere with its security or operation, including by sending automated or excessive requests;
- submit false information, or content that is unlawful, harmful or infringes anyone’s rights;
- copy or reuse the website’s content, design or code except as allowed below.
5. Intellectual property
The website — its text, design, graphics, logos and code — belongs to Codeflux or its licensors. You may view it and share links to it. You may not copy, modify or republish it without our written permission.
“Codeflux”, “Clinic Orion” and their logos are our names and marks.
6. Information you send us
When you contact us or use the Start a project form, you confirm that the information is accurate and that you are allowed to share it. How we handle it is described in our Privacy Policy.
7. Links to other websites
The website links to other sites, such as clinicorion.com. We are not responsible for the content or practices of sites we do not operate.
8. Availability
We aim to keep the website available and accurate, but we don’t promise it will always be available, error-free or up to date. We may change or remove any part of it at any time.
9. Disclaimer
The website is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties about the website, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
This section applies to the website only. Warranties for client work are set out in the client’s signed agreement.
10. Limitation of liability
To the fullest extent permitted by law, Codeflux is not liable for any indirect, incidental, special or consequential damages, or any loss of profits, revenue or data, arising from your use of the website.
Our total liability for any claim related to the website is limited to one hundred US dollars (US$100).
Nothing in these terms limits liability that cannot be limited by law.
11. Changes to these terms
We may update these terms from time to time. The effective date at the top shows when they last changed. Continuing to use the website after a change means you accept the updated terms.
12. Governing law
These terms are governed by the laws of [GOVERNING LAW]. Any dispute related to the website will be resolved in the courts of [JURISDICTION], unless the law of your place of residence requires otherwise.
